  5.     Time Warner's long courtship with potential foreign partners
  6. may finally be leading to an alliance. Last week two Japanese
  7. giants, electronics maker Toshiba and the trading concern C.
  8. Itoh, confirmed that they are negotiating to make an investment
  9. in the U.S. entertainment and communications company. In the
  10. deal currently being discussed, the Japanese corporations would
  11. invest $500 million each for a 12% share of a new Time Warner
  12. subsidiary that would bring together the company's movie, cable
  13. and TV-programming businesses.

  15.     The new Time Warner entity would assume as much as $7
  16. billion of the $8.7 billion that remains of the bank debt the
  17. corporation took on when Time Inc. and Warner Communications
  18. merged in 1990. The potential partners see other benefits as
  19. well. Toshiba could provide cable-TV hardware to Time Warner,
  20. while C. Itoh could gain distribution rights for the U.S.
  21. company's entertainment products in Japan and other countries.
  22. Negotiators said the deal could take weeks to complete. But
  23. expectations about an imminent alliance were fanned by the
  24. arrival in Japan last week of Time Warner chairman Steve Ross,
  25. who was attending the Tokyo Film Festival. Even if the Japanese
  26. alliance is formed, Time Warner says it plans to continue
  27. exploring strategic partnerships in Europe as well.
